Founding Partner

Eleanor Sterling

Eleanor advises founders, private companies and investors on formation, governance, financing and ownership transitions.

Eleanor co-founded Nexum Law after more than a decade advising growing companies. Her practice covers the corporate life of a business: structuring at formation, shareholder arrangements, venture financings and the reorganizations that come with growth.

Clients describe her advice as direct. She prefers short written recommendations to long memos, and she spends time understanding a client's commercial position before drafting a single clause.

She serves as outside general counsel to a number of privately held companies, attending board meetings and coordinating specialist advice when needed.

A typical week for Eleanor includes a founder agreement for a new company, a board consent for an existing client, and a call about a convertible note or priced round. For established businesses she handles ownership transfers between family members or partners, often working alongside the client's accountant and financial adviser so the legal structure and the tax position line up.
